By downloading, installing, accessing, or using any application or service provided by Solstice Software Ltd ("we", "us", "our", "Company"), you ("User", "you") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use our services.

These Terms apply to all of our websites, mobile applications, web applications, APIs, and any other software or services we offer now or in the future (collectively, "Services"). When we release new Services, they are automatically covered by these Terms unless we publish separate terms for them.

You must be at least 13 years of age to use our services. By using our services, you represent and warrant that you are 13 years of age or older.

If you are under 18, you may use our services only with the involvement and consent of a parent or legal guardian.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use our applications for your personal, non-commercial use on devices you own or control.

This licence is granted by Solstice Software Ltd. Apple Inc. and Google LLC are not parties to this licence. Solstice Software Ltd is solely responsible for its applications and their content.

You may not:

• ▸ Copy, modify, or distribute any application or its content
• ▸ Reverse engineer, decompile, or disassemble any application
• ▸ Rent, lease, loan, sell, sublicense, or transfer any application to any third party
• ▸ Remove or alter any proprietary notices or labels
• ▸ Use any application for any unlawful or unauthorised purpose
• ▸ Use any application to develop a competing product or service
• ▸ Use automated means to access or scrape any of our services

4.1 OUR PROPERTY

All intellectual property rights in our applications and services — including but not limited to software, design, graphics, text, logos, and trademarks — are owned by or licensed to Solstice Software Ltd. Nothing in these Terms transfers any intellectual property rights to you.

4.2 THIRD-PARTY CONTENT

Our Services may display data and content from third-party sources (for example, financial market data, product information, or other external data). Such content remains the property of its respective owners and is subject to their terms and conditions.

4.3 FEEDBACK

If you submit suggestions, ideas, or feedback about our services, you grant us a perpetual, worldwide, royalty-free licence to use that feedback without restriction or compensation to you.

5.1 NO PROFESSIONAL ADVICE

Our Services are provided for informational and entertainment purposes only. Nothing in our Services constitutes financial advice, investment advice, trading advice, medical advice, legal advice, or any other form of professional advice. Where our Services display financial data or investment-related information, always consult a qualified financial adviser before making investment decisions.

5.2 NO WARRANTY ON DATA ACCURACY

Data displayed in our Services may be provided by third-party sources. We do not warrant the accuracy, completeness, or timeliness of any data displayed. Where financial data is presented, past performance is not a reliable indicator of future results.

5.3 NO RELIANCE

You should not make financial, medical, legal, or other professional decisions based solely on information provided by our Services. Solstice Software Ltd accepts no liability for any losses arising from reliance on data presented in our Services.

You agree not to use our services to:

• ▸ Engage in any conduct that could damage the reputation of Solstice Software Ltd

Our applications may integrate with or link to third-party services. Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party service.

Apple App Store users: These Terms are between you and Solstice Software Ltd, not Apple Inc. Apple is not responsible for our applications or their content, and has no obligation to provide any maintenance or support for our applications. Apple is a third-party beneficiary of these Terms for the limited purpose set out in Apple's standard terms.

Google Play users: These Terms are between you and Solstice Software Ltd, not Google LLC. Google is not responsible for our applications or their content.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR COMPLETENESS OF CONTENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY ENGLISH LAW, SOLSTICE SOFTWARE LTD SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED £100 (ONE HUNDRED POUNDS STERLING).

Nothing in these Terms excludes or limits our liability for:

• ▸ Death or personal injury caused by our negligence
• ▸ Fraud or fraudulent misrepresentation
• ▸ Any other liability that cannot be excluded or limited under English law

You agree to indemnify and hold harmless Solstice Software Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

• ▸ Your use of our services in violation of these Terms
• ▸ Your violation of any applicable law or regulation
• ▸ Your violation of any third-party rights

11.1 BY YOU

You may stop using our services at any time. Uninstalling our applications from your device constitutes termination of your licence under these Terms.

11.2 BY US

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

11.3 EFFECT OF TERMINATION

Upon termination, your licence to use our applications ends immediately. Sections 4, 8, 9, 10, and 13 of these Terms survive termination.

Solstice Software Ltd is solely responsible for providing any maintenance and support services for our applications. Apple Inc. has no obligation whatsoever to furnish any maintenance or support services with respect to our applications.

Solstice Software Ltd — not Apple Inc. or Google LLC — is responsible for addressing any claims by you or any third party relating to our applications or your possession and/or use of our applications, including but not limited to:

• ▸ Product liability claims
• ▸ Claims that any application fails to conform to any applicable legal or regulatory requirement
• ▸ Claims arising under consumer protection, privacy, or similar legislation

14.1 GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14.2 JURISDICTION

Subject to Section 14.3 below, you agree that any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 CONSUMER RIGHTS

If you are a consumer resident in the United Kingdom, you may also have rights under applicable consumer protection legislation (including the Consumer Rights Act 2015) that cannot be excluded or limited by these Terms. Nothing in these Terms affects those statutory rights.

For EU consumers, you may access the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using our services.

16.1 SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16.2 ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Solstice Software Ltd regarding your use of our services and supersede all prior agreements and understandings.

16.3 NO WAIVER

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
